POSITION SUMMARY
The Corporate Counsel provides diversified general legal support to SecureWorks’ internal clients on a wide range of legal issues.  This individual uses broad and comprehensive experience, skills and knowledge in general corporate, contracts, securities, employment, immigration, export and other legal matters to provide competent and timely legal support.  This position requires excellent interpersonal skills and communication skills, both verbal and written.

Essential Duties & Responsibilities

  • Contract Drafting and Negotiation
    • Draft and negotiate sales contracts, channel sales contracts, franchise agreements, non-disclosure agreements, vendor contracts
  • General Corporate Matters
    • Draft corporate documents, including articles of incorporation, bylaws, shareholder agreements and stock purchase agreements
    • Maintain corporate record books
  •     General Employment, Employee Benefit and Immigration Matters
    • Draft employment agreements, employment policies, non-compete agreements and stock option plans and agreements
    • Prepare work visa and green card applications
  • Interface with internal clients and external customers on a daily basis and build relationships to be an integral member of the SecureWorks’ team
  • Maintain strict confidentiality on highly sensitive matters

Education and Experience:

  • A bachelor's degree and JD from accredited university and law school
  • A member of a least one state bar association, preferably Georgia
  • 3 to 7 years of legal experience that is directly related to the duties and responsibilities specified with a minimum of 2 years experience at a law firm
  • Proven initiative and a strong customer service focus
  • the ability to meet new challenges with an open mind and an optimistic response
  • proven experience in effectively managing/coordinating simultaneous projects, and successfully prioritizing multiple tasks with good judgment
  • proficiency in standardized software applications, including MS Word, Excel and PowerPoint
